Terms of Service

The service
Covagent (“we,” “us”) operates a platform that provides covenant monitoring and BDC analytics tools for private credit. The tools are delivered through the Model Context Protocol (MCP) and a web application. By creating an account or using the Covagent API, you agree to these terms.
The free tier gives access to public BDC and SEC data tools. The paid tier adds private portfolio tools: compliance certificate extraction, covenant ratio tracking, and document monitoring. Both tiers are served from the same MCP endpoint.
Accounts
Registration requires your name, email address, and firm name. You may optionally provide a title. After verifying your email, you receive an API key.
API keys are bearer tokens. Anyone with your key can act as your account. Keep keys secure and do not embed them in client-side code. If you believe your key has been compromised, contact us immediately to rotate it.
One account per person.
MCP usage and agent actions
Covagent tools are designed to be called through AI agents and MCP-compatible clients (Claude, Cursor, ChatGPT, and others). If your agent calls a tool on your behalf, that action is treated the same as if you had called it yourself.
You are responsible for how your agent is configured and what actions it takes on your account. Covagent is not liable for unintended agent behavior.
Data accuracy
Extraction outputs include confidence scores. They require human review before being treated as authoritative. Covagent does not automatically flag covenant breaches without review, and we do not guarantee the accuracy of any extracted data.
The service is not financial, legal, or investment advice. You are responsible for verifying all outputs against source documents before relying on them.
Payments
Paid tool access requires a subscription. Pricing is communicated separately and charges are processed in USD. We will notify you of pricing changes before they take effect.
Acceptable use
You agree not to:
- Use the service for anything illegal or to submit false or misleading data.
- Circumvent rate limits or abuse the API in a way that degrades service for other users.
- Reverse-engineer the extraction models or attempt to extract the underlying algorithms.
- Share API keys or allow unauthorized third parties to access your account.
We may suspend or terminate accounts that violate these rules, without refund.
Intellectual property
Covagent owns the platform, tools, extraction models, and the structured BDC dataset we produce from public SEC filings.
You retain ownership of your uploaded documents, portfolio data, and any content you submit. By uploading content, you grant us a license to process it as needed to operate the service (running extraction, storing results, returning data to your MCP client).
Limitation of liability
To the fullest extent permitted by law, Covagent is not liable for indirect, incidental, or consequential damages arising from use of the service. Our total liability for any claim is limited to the fees you paid us in the 12 months preceding the claim.
We are not responsible for decisions made based on extracted data or tool outputs. You bear full responsibility for verifying outputs against source documents.
Termination
You can stop using Covagent at any time. To delete your account and associated data, email hello@covagent.io.
We may also terminate or suspend your account if you violate these terms. Outstanding charges survive termination.
Changes to these terms
We may update these terms. Material changes will be communicated via email to the address on your account. Continued use after changes take effect constitutes acceptance.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of San Francisco County, California.
